EARTH POINTS — BDM CERTIFICATION PROGRAM

These Terms of Service ("Terms") govern your enrolment in and participation in the Earth Points BDM Certification Program ("the Program") operated by Earth Artificial Intelligence Ltd ("the Company", "we", "us", "our").
By purchasing and enrolling in the Program, you ("the BDM", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms in full.
1. NATURE OF THE RELATIONSHIP
1.1 The Program is a certification and training program that provides you with the knowledge, tools, and materials to operate as an independent Business Development Manager for the Earth Points platform.
1.2 You are an independent contractor. You are not an employee, agent, partner, or joint venturer of the Company. Nothing in these Terms creates or is intended to create an employment relationship between you and the Company.
1.3 The Program is commission-only. There is no salary, wage, retainer, minimum payment, or guaranteed income of any kind. You are paid solely on the basis of what you produce.
1.4 There are no minimum hours, required hours, fixed schedules, or mandatory attendance requirements. You determine when, where, and how you work.
2. ELIGIBILITY REQUIREMENTS
2.1 To enrol in and participate in the Program, you must:
(a) Be at least 18 years of age;
(b) Hold a valid Australian Business Number (ABN) or New Zealand equivalent, or agree that you will obtain one before enlisting any businesses, as holding a valid ABN is a prerequisite to receiving any commission payments;
(c) Be legally entitled to work as an independent contractor in Australia or New Zealand;
(d) Agree to these Terms of Service and the Privacy Policy in full.
2.2 By enrolling, you confirm and warrant that you meet all eligibility requirements listed above.
2.3 The Company reserves the right to verify your ABN and to withhold commission payments until a valid ABN is provided.
3.1 The Program fee is $200 AUD (inclusive of GST). This is a one-time payment.
3.2 The fee covers access to the full BDM Certification Training Course and the BDM Starter Pack (branded shirt, cap, window and counter stickers, counter standing cards, business cards, and NFP one-page leave-behind).
4.1 All sales are final. No refunds will be provided under any circumstances.
4.2 The Program provides you with an opportunity to earn income through commission-based activities. It is your responsibility to satisfy yourself that the Program is suitable for you before purchasing.
4.3 The success or failure of your activities as a BDM depends entirely on your own effort, skill, and commitment. The Company does not guarantee any level of income, any number of sign-ups, or any specific outcome.
4.4 By purchasing the Program, you acknowledge and accept that:
(a) You have had the opportunity to review all publicly available information about the Program before purchasing;
(b) You understand this is a commission-only opportunity with no guaranteed income;
(c) You accept full responsibility for your own results;
(d) You waive any right to request a refund for any reason, including but not limited to: dissatisfaction with the Program content, failure to complete the training, failure to sign any businesses or NFPs, failure to generate income, change of mind, or personal circumstances.
5.1 Business Sign-Up Commission (Phase 1 — First 50% of market saturation per business category, per area):
(a) The standard business sign-up price is $1,100 AUD (inclusive of GST), being $1,000 plus GST.
(b) The BDM earns 50% of all funds collected above $200 (plus GST) per business sign-up.
(c) The minimum price a BDM may charge a business is $200 plus GST ($220 inclusive of GST). At this minimum price, the BDM earns $100.
(d) The pricing between $220 and $1,100 (inclusive of GST) is at the BDM's discretion.
5.2 Business Sign-Up Commission (Phase 2 — After 50% market saturation):
(a) Businesses joining after 50% saturation pay the full standard fee of $19,990 AUD.
(b) The BDM earns a flat $200 commission on any post-saturation sign-up, regardless of the fee paid by the business.
5.3 NFP Sign-Up Commission:
(a) Not-for-profit organisations are always free to register and onboard.
(b) There is no sign-up commission for NFP sign-ups.
(a) The BDM earns residual income in ERTH (Earth Points digital currency) from transactions generated across the BDM's network.
(b) Residual income is tracked via the BDM's unique personal QR code.
(c) ERTH fluctuates in value based on supply and demand. The Company does not guarantee the value of ERTH at any time.
(d) Residual income is conditional on the BDM actively maintaining and servicing their network in accordance with these Terms.
(a) BDMs must hold a valid ABN and will be paid via invoice.
(b) The Company will generate invoices automatically on behalf of the BDM.
(c) Commission payments are subject to applicable tax obligations. It is your sole responsibility to manage your own tax affairs.
6.1 You must complete the full BDM Certification Training Course before commencing BDM activities.
6.2 You must represent the Earth Points brand professionally and in accordance with the brand guidelines provided in the training materials.
6.3 You must not make any representations, warranties, or guarantees about the Earth Points platform, its services, or potential outcomes that are false, misleading, or not authorised by the Company.
6.4 You must comply with all applicable Australian and New Zealand laws, including but not limited to the Australian Consumer Law, Fair Trading Acts, and Privacy Act 1988 (Cth).
7. ONGOING SERVICE REQUIREMENT
7.1 Residual income is not unconditional. You must continue to actively service and support your network to continue receiving residual income. This includes:
(a) Regular follow-up with signed businesses;
(b) Regular follow-up with NFPs to support member growth;
(c) Making business-to-NFP introductions;
(d) Attending NFP events to support member sign-ups where needed;
(e) Helping businesses and NFPs with cross-promotions;
(f) Responding to issues or questions from businesses and NFPs in your network.
7.2 If the Company identifies that your network is not being adequately maintained, you will be notified and given a reasonable period to remedy the situation.
7.3 If, after notification and a reasonable remedy period, you are unable or unwilling to maintain the network to the required standard, the Company may reassign the network to another BDM. This is a last resort and you will always be given fair notice and a fair opportunity to remedy the situation first.
8.1 All training materials, course content, brand assets, logos, templates, scripts, and other materials provided as part of the Program remain the intellectual property of the Company.
8.2 You are granted a non-exclusive, non-transferable licence to use these materials solely for the purpose of conducting authorised BDM activities.
8.3 You must not reproduce, distribute, sell, or share the training materials or any Company intellectual property with any third party.
9.1 You may cease your BDM activities at any time. No refund of the Program fee will be provided.
9.2 The Company may terminate your participation in the Program if:
(a) You breach any of these Terms;
(b) You engage in conduct that is dishonest, fraudulent, or brings the Earth Points brand into disrepute;
(c) You fail to maintain your network after being notified and given a reasonable remedy period;
(d) You do not hold a valid ABN.
9.3 Upon termination, your licence to use Company materials ceases immediately and you must return or destroy all branded materials in your possession.
10. LIMITATION OF LIABILITY
10.1 To the maximum extent permitted by law, the Company is not liable for any loss, damage, cost, or expense (including loss of income, loss of profits, or loss of opportunity) arising from or in connection with your participation in the Program.
10.2 The Company does not guarantee any income, any return on investment, or any specific business outcome. All income examples and projections provided in marketing materials or the training course are illustrative only and are not guarantees.
10.3 You acknowledge that ERTH is a digital currency that fluctuates in value and the Company does not guarantee the value of ERTH at any time.
11.1 You agree to indemnify and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from or in connection with:
(a) Your breach of these Terms;
(c) Any representations or warranties you make to businesses, NFPs, or customers;
(d) Any breach of applicable law by you.
12.1 Any dispute arising from or in connection with these Terms must first be raised in writing with the Company.
12.2 The parties agree to attempt to resolve any dispute through good faith negotiation before commencing any legal proceedings.
12.3 These Terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland.
13.1 These Terms constitute the entire agreement between you and the Company in relation to the Program.
13.2 The Company reserves the right to amend these Terms at any time. Updated Terms will be published on the Thinkific site and will take effect from the date of publication.
13.3 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
13.4 A failure by the Company to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
